TERMS & CONDITIONS AND MEMBERSHIP AGREEMENT

By signing this agreement (electronically or otherwise), enrolling online, and/or attending classes, assessments, sessions, events, activities, and other programs of SynergyFx, whether in person, online, or using SynergyFx equipment or services of any kind (collectively, the “Services”), you acknowledge and agree to the terms below on behalf of yourself and, as applicable, your heirs, personal representatives, assigns, and any minor you enroll (collectively, “you”).

1. Acknowledgement of Risk and Assumption of Responsibility

You understand that SynergyFx offers physical training and wellness services, including but not limited to: small group training, Pilates mat and tower, Pilates reformer, personal and semi-private training, metabolic and physiological testing (including VO2Max, RMR, and related assessments), body composition scans, and recovery and wellness modalities (including PEMF, red light therapy, Exercise With Oxygen Training, and similar services). You acknowledge that these activities are strenuous and may involve inherent and significant risks.

Such risks may include, but are not limited to: muscle soreness, musculoskeletal injury, cardiovascular events, elevated or abnormal blood pressure, fainting, dizziness, falls, equipment malfunction or misuse, burns or skin irritation, allergic or sensitivity reactions, and, in rare cases, heart attack, stroke, serious injury, or death. You understand that your results are not guaranteed.

By choosing to participate, you:

  • Represent that you are voluntarily engaging in these Services.
  • Acknowledge that SynergyFx strongly recommends you consult with your physician prior to commencing any exercise or wellness program and prior to any metabolic or physiological testing.
  •  Assume all risk for your health and well-being related to your participation in the Services and use of SynergyFx facilities, equipment, and technologies.

If you are enrolling a minor (ages 12-17), this release and assumption of risk applies equally to the minor. No one under 12 may participate. A minor ages 12-17 may participate only with a parent or legal guardian’s consent and signature.

2. Waiver and Release of Liability

To the fullest extent permitted by law, you voluntarily agree:

  • To assume all risks, known and unknown, associated with your participation in the Services and use of SynergyFx facilities and equipment, including those described above.
  • To release, waive, and discharge SynergyFx, its owners, officers, directors, coaches, instructors, contractors, representatives, employees, and other participants (collectively, the “Released Parties”) from any and all claims, demands, causes of action, damages, losses, costs, or expenses of any kind (“Claims”) arising out of or related to your participation in the Services or use of the facilities, whether arising from ordinary negligence of the Released Parties or otherwise.
  • Not to sue or bring any claim against the Released Parties relating to any injury, illness, damage, or loss you may experience, except where prohibited by law.

This waiver and release applies, without limitation, to Claims relating to:

  • Fitness training, Pilates, and use or misuse of reformers, strength equipment, and other apparatus.
  • Metabolic and physiological testing, including VO2Max, RMR, and any cardio-respiratory or performance assessments.
  • Body composition scanning and related measurements.
  • Recovery and wellness modalities, including but not limited to PEMF, red light therapy, Exercise With Oxygen Training, and similar services.
  • Communicable diseases (including respiratory viruses and other transmissible conditions) that may be contracted through proximity to others or shared equipment.

You understand that nothing in these Terms is intended to waive rights that cannot be waived under applicable law.

3. Health Representations and Client Responsibilities

By participating in the Services, you represent and warrant that:

  • You are in good physical condition and have no medical or other condition that would prevent your safe participation in the Services.
  • You will disclose to SynergyFx any known medical conditions, injuries, surgeries, medications, or other relevant information requested on our intake forms or by your coach or practitioner, and you will update SynergyFx if your condition changes.
  • You will follow all instructions provided by SynergyFx staff, use equipment as demonstrated, and ask for clarification if you do not understand any exercise, protocol, or safety guidance.
  • You will not attend in-person Services if you are experiencing symptoms of illness, have a fever, or have been advised by a healthcare professional to avoid exercise or certain modalities.

SynergyFx reserves the right, in its sole discretion, to deny or terminate your participation in the Services or access to the facility if we believe your participation may present an undue risk to you or others.

4. Communicable Disease Notice

You understand and acknowledge that using indoor fitness and wellness facilities-where others may be present-can increase the risk of exposure to communicable diseases, including but not limited to respiratory viruses. SynergyFx implements reasonable cleanliness, sanitation, and safety measures; however, no measures can completely eliminate these risks.

By entering the facility and participating in the Services, you:

  • Voluntarily assume the risk of exposure to communicable diseases.
  • Agree to follow any health, hygiene, and safety protocols communicated by SynergyFx, which may be updated over time.
  • Agree that SynergyFx may cooperate with public health authorities as required by law.

5. Maryland Consumer Rights and Registration

SynergyFx’s registration number with the Maryland Consumer Protection Division is E2485. We are not required to carry a performance bond under the Maryland Health Club Services Law because we do not accept more than three months of payment in advance or charge initiation fees over $200.

If SynergyFx is closed for a month or more, you are entitled to your choice of either an extension of your agreement or a prorated refund. If the closure is not the fault of SynergyFx, we may elect which option to provide, as permitted by law.

You have the right to cancel your agreement within three (3) business days of signing. Cancellation must be in writing and delivered in person or by certified mail to:

A business day for purposes of cancellation means Monday through Saturday (excluding legal holidays). If you cancel within three business days, you will receive a full refund as required by Maryland law.

If you become disabled for at least three (3) months during your membership term and your disability is confirmed in writing by a physician, you may be entitled to an extension of your agreement as required by Maryland law.

6. Memberships, Programs, and Payments

6.1 Membership Types and Programs
SynergyFx offers various membership and program options, which may include (by example and not limitation):

  • 90-day intensive programs (such as The Reset)
  • Ongoing membership tiers (such as Elevate, Elevate Reformer, Accelerate and other membership tiers that may be created from time to time.)
  • Class packages and drop-in options
  • Private and semi-private training or Pilates sessions
  • Wellness, testing, and recovery packages.

The specific inclusions, terms, and pricing for any membership or program will be described in the applicable membership agreement, order form, or online purchase confirmation.

6.2 Semi-Private Pilates and Training Sessions
Semi-private sessions are designed for two participants. SynergyFx does not provide or guarantee a partner for semi-private sessions. It is your responsibility to arrange and maintain your semi-private partner.


If your partner cancels, fails to attend, or discontinues sessions, SynergyFx may, at its discretion, offer you the option to:

  • Convert the scheduled session to a private session at the then-current private session rate;
  • Reschedule the semi-private session for a time when you have a partner; or
  • Apply any applicable cancellation or no-show policy in accordance with these Terms.

Pricing and availability for private versus semi-private sessions may differ and are subject to change.

6.3 Auto-Renewal and Term Commitments
Certain memberships may be structured as ongoing agreements with a minimum term (e.g., six or twelve months) and automatic renewal periods. By enrolling in such memberships, you authorize recurring charges to your designated payment method according to the terms presented at sign-up.


You are responsible for reviewing the specific membership terms at the time of purchase, including any minimum term, renewal schedule, and cancellation requirements.
6.4 Cancellations, Pauses, and Changes
Cancellation, pause, or change policies (including minimum notice requirements) may differ by membership type or program. These policies will be stated in your membership documentation or online purchase flow.


In general:

  • Written notice is required to cancel ongoing memberships, subject to the notice period in your specific agreement.
  • Early termination of term-based memberships may be subject to fees or other conditions, unless otherwise required by law.
  • Pauses or freezes may be granted at SynergyFx’s discretion, typically for medical or special circumstances and in accordance with Maryland law

7. Class, Session, and Appointment Policies

7.1 Reservations and Charges
To reserve a class, session, or appointment, you must:

  • Have an active membership, package, or sufficient credit on your account; and
  • Complete your reservation via our website, booking platform, or directly through the studio.

Your credit/debit card will be charged at the time of purchase or in accordance with your membership billing schedule. If payment fails or your account is not in good standing, SynergyFx may suspend or terminate your access to classes and Services until payment is received.

7.2 Class Cancellation and No-Show Policy
Cancellations must be made no less than twelve (12) hours prior to the scheduled start time to avoid penalties. If you cancel within the late window or do not attend a reserved class or session:

  • Members with class packages may forfeit the class credit.
  • Unlimited or recurring members may be charged a late-cancellation/no-show fee as posted by SynergyFx.

If you are not feeling well and it is past the 12-hour window, we encourage you to contact the studio as soon as possible; SynergyFx may, at its discretion, waive or adjust fees in cases of illness.

7.3 Late Arrivals
For safety reasons and to ensure all participants are properly warmed up, you must arrive on time. Vacant spots may be given to waitlisted participants shortly before the session begins. SynergyFx reserves the right to deny entry to late arrivals once a class or session is underway.

7.4 Waitlist Policy
If a class is full, you may join a waitlist if you have an active membership or package. If a spot opens before the reservation window closes, you may be automatically enrolled and notified. You are responsible for removing yourself from the waitlist if you are no longer interested; otherwise, late cancellation/no-show policies may apply once you are added to the class.

If a spot opens after the 12-hour reservation window has closed, SynergyFx will contact waitlisted clients directly. The first client we speak with will be enrolled. You are also welcome to call the studio if a class has closed to inquire about availability.

8. Purchase and Refund Policy

Unless otherwise expressly stated:

  • All class packages, memberships, and Services are non-transferable and non-refundable.
  • Pricing and schedules are subject to change without prior notice; however, significant changes to active memberships will be communicated in advance as reasonably possible.
  • Single sessions and class packages may have expiration dates, which are stated at the time of purchase.

Unused retail merchandise may be returned or exchanged within the time frame and conditions posted by SynergyFx at the time of purchase.

9. Website and Account Use

If you use our website at www.synergyfxfit.com (the “Website”) or any associated online platforms:

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to use the Website only for lawful purposes and in accordance with these Terms.
  • You consent to receive electronic communications from SynergyFx related to your account, purchases, and Services.

SynergyFx may update, modify, or discontinue any portion of the Website at any time without notice.

10. Intellectual Property

All content on the Website and within SynergyFx materials-including text, graphics, logos, images, videos, program names, and software-is owned by or licensed to SynergyFx and protected by intellectual property laws.


You may view and print limited copies of Website content for your personal, non-commercial use solely to interact with our Services. Any other use, including reproduction, modification, distribution, or derivative works, is prohibited without our prior written consent.

11. Unauthorized Uses

You agree not to:

  • Use any automated tools or data-mining techniques to access, scrape, or copy Website content.
  • Use the Website or SynergyFx materials for commercial purposes, resale, or to develop a competing service.
  • Interfere with the operation or security of the Website or facilities.

Any unauthorized use may result in termination of your access, and SynergyFx reserves all legal and equitable remedies.

12. Disclaimer of Warranties

The Services, facilities, and Website are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, SynergyFx disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


We do not warrant that the Services will meet your expectations or that any particular result will be achieved.

13. Limitation of Liability

To the fullest extent permitted by law, in no event shall SynergyFx or the Released Parties be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, facilities, or Website, even if advised of the possibility of such damages.


In jurisdictions that do not allow exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

14. Third-Party Websites and Services

The Website and Services may reference or link to third-party websites, platforms, or services (including scheduling, payment, or analytics providers). SynergyFx is not responsible for the content, policies, or practices of such third parties. Accessing third-party sites is at your own risk and subject to their terms and policies.

15. Choice of Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law principles. Any claim or dispute arising out of or relating to these Terms, the Services, or your use of the facilities or Website shall be brought solely in the state or federal courts located in Maryland, and you consent to the jurisdiction of such courts.

16. Changes to These Terms

SynergyFx may revise these Terms from time to time. The most current version will be posted on the Website with an updated “Revised” date. Your continued use of the Services, facilities, or Website after any changes are posted constitutes your acceptance of the updated Terms.

APPENDIX: CLIENT-FRIENDLY
FAQ - SEMI-PRIVATE SESSIONS

Q: How do semi-private sessions work?
Semi-private sessions are designed for two people training together with one coach. They’re perfect for friends, family members, or training partners who want personalized attention at a more accessible price point than private sessions.


Q: Will SynergyFx pair me with someone for semi-private sessions?
No. You’re responsible for finding and maintaining your semi-private partner. We recommend coordinating with someone who has similar goals, availability, and fitness level.


Q: What happens if my partner cancels or can’t make it?
If your partner cancels or is unavailable, you have a few options:

  • Convert that session to a private session (you’ll be charged the difference between semi-private and private rates)
  • Reschedule for a time when your partner can attend
  • Standard cancellation policies apply if you choose not to attend.

 

Q: Can I switch partners?
Yes, as long as both you and your new partner communicate the change to your coach in advance. We want to ensure programming remains appropriate and safe for all participants.


Q: What if my partner drops out entirely?
If your partner discontinues, you can find a new partner to continue at the semi-private rate, or transition to private sessions at the applicable rate. Please contact the studio to discuss your options.
